1. Acceptance of Terms

By accessing or using the website operated by Telen Concept Limited ("we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please discontinue use of this website immediately.


We reserve the right to modify these Terms at any time. We will update the "Last Updated" date at the top of this page. Continued use of the website after any such changes constitutes your acceptance of the new Terms.

2. Services Provided

Telen Concept Limited is a Hong Kong-based web development studio offering the following services:


Web Design & Development — Custom website design, front-end and full-stack development tailored to client specifications

Website Maintenance — Ongoing technical support, content updates, performance monitoring, and security patching

E-Commerce Solutions — Design and development of online stores, payment integration, and product management systems

AI Integration — Integration of artificial intelligence features, chatbots, automation tools, and data-driven solutions into web applications


All services are subject to a separate written agreement, proposal, or statement of work agreed upon by both parties prior to commencement of work.

3. Client Engagement & Agreements

All client engagements are governed by a formal proposal or contract issued by Telen Concept Limited. Such documents shall take precedence over these general Terms in the event of any conflict.


Project Commencement

Work will only begin upon receipt of a signed proposal or agreement, along with any required deposit payment as specified therein.


Scope of Work

Any changes to the agreed scope of work must be submitted in writing and may result in additional charges or adjustments to the project timeline. Verbal agreements regarding scope changes will not be binding.


Project Timeline

Estimated timelines are provided in good faith and are subject to timely provision of required materials, feedback, and approvals from the client. Delays caused by the client may result in revised delivery dates.

4. Payment Terms

Deposit

A non-refundable deposit (as specified in the project proposal) is required before work commences. The deposit amount will be deducted from the total project fee.


Invoicing

Invoices are issued in accordance with the payment schedule outlined in the project agreement. Payment is due within 14 calendar days of the invoice date unless otherwise agreed in writing.


Late Payment

We reserve the right to suspend or terminate work on any project where payment becomes overdue. Outstanding invoices may be subject to a late payment fee of 1.5% per month on the overdue balance.


Currency

Unless otherwise stated, all fees are quoted in Hong Kong Dollars (HKD) and are exclusive of any applicable taxes.

5. Intellectual Property

Ownership upon Full Payment

Upon receipt of full and final payment for a project, the client shall own the intellectual property rights to the final deliverables specifically created for them under that project, unless otherwise agreed in writing.


Our Retained Rights

We retain the right to use the completed work in our portfolio, marketing materials, and case studies, unless the client has expressly requested confidentiality in writing prior to project commencement.


Third-Party Assets

Any third-party assets used in the project (including stock photography, fonts, plugins, or licensed frameworks) remain subject to their respective licences. It is the client's responsibility to obtain and maintain any necessary licences for continued use of such assets.


Pre-Existing Work

All tools, code libraries, frameworks, templates, and methodologies we use that were created prior to or independently of any client engagement remain our sole property.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information exchanged during the engagement. This includes but is not limited to business strategies, technical specifications, pricing information, and client data.


This obligation of confidentiality shall survive the termination of any project agreement and continue for a period of three (3) years thereafter, unless the information becomes publicly available through no fault of either party.

7. Warranties & Disclaimers

We warrant that the services provided will be performed with reasonable skill and care in accordance with industry standards.


However, we make no representations or warranties, express or implied, regarding:


• The fitness of deliverables for any particular purpose beyond what is specified in the project agreement

• Uninterrupted or error-free operation of any website or application we develop

• Continued compatibility with third-party platforms, browsers, or operating systems following delivery


The client is responsible for thoroughly testing all deliverables before going live. We are not liable for any issues arising from the client's use of deliverables in ways not specified or tested during the project.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Telen Concept Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption.


Our total cumulative liability arising out of or in connection with any project shall not exceed the total fees paid by the client for that specific project in the twelve (12) months preceding the event giving rise to the claim.


Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

9. Termination

Termination by Client

The client may terminate a project at any time by providing written notice. Upon termination, the client shall pay for all work completed up to the date of termination, including the non-refundable deposit and any outstanding invoices.


Termination by Us

We reserve the right to terminate any project with written notice if the client breaches any material term of the project agreement or these Terms, including failure to make payment, provision of unlawful content, or conduct that is abusive or threatening toward our team.


Effect of Termination

Upon termination, all licences granted to the client for work-in-progress deliverables are immediately revoked until full payment is received.

10. Governing Law & Dispute Resolution

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("HKSAR").


Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties.


If negotiation fails, the parties agree to submit to the exclusive jurisdiction of the courts of the HKSAR.

11. General Provisions

Entire Agreement

These Terms, together with any signed project agreement or proposal, constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements.


Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.


No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.


Force Majeure

We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, power outages, government actions, or internet outages.
